Waiver and Assumption of Risk Agreement
This Waiver and Assumption of Risk Agreement ("Agreement") is entered into by and between Skyhook Climbing Gym Incorporated DBA Skyhook Bouldering ("Skyhook Bouldering"), and the undersigned participant ("Participant"). This Agreement does not apply to other entities owned by Skyhook Holdings LLC or Skyhook Fitness Inc. DBA Skyhook Ninja Fitness.
Severability
If any provision of this Agreement or its application to any person or circumstance is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remainder of this Agreement, or the application of such provision to persons or circumstances other than those as to which it is held invalid, illegal, or unenforceable, shall not be affected thereby. Each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law.
In the event that any provision of this Agreement is found to be invalid, illegal, or unenforceable, the parties agree to substitute a valid, legal, and enforceable provision that most closely approximates the intent and economic effect of the invalid, illegal, or unenforceable provision.
Acknowledgment of Risks
By signing this Agreement, participants explicitly affirm that they willingly agree to assume all risks associated with participating in any and all activities provided by Skyhook Bouldering. This includes, but is not limited to, risks arising from:
- Falls and Injuries: Including those resulting from falls, equipment failures, and accidents caused by other climbers or environmental conditions.
- Equipment-Specific Risks: Including injuries related to the use of free weights, cable crossover machines, systems boards, climbing training aids, and other fitness equipment.
- Environmental Hazards: Such as slippery floors, uneven surfaces, variations in temperature and humidity, and outdoor conditions including ice on sidewalks.
- Inadequate Training or Supervision: Risks arising from insufficient skills or experience in using climbing routes or equipment properly.
- Equipment Misuse or Failure: Despite regular maintenance and inspection, equipment such as climbing holds, volumes, and other apparatus may fail or malfunction.
- Overuse Injuries: Such as tendonitis, muscle strains, or repetitive stress injuries.
- Falling Objects and Collisions: Risks from loose holds or collisions with other climbers.
- Medical and Physical Conditions: Including exacerbation of pre-existing conditions such as heart disease, asthma, or epilepsy.
- Hydration and Nutrition Issues: Risks from dehydration or inadequate nutrition impacting physical performance.
- Facility Conditions: Risks from overcrowding, psychological stress, inadequate facility layout, and use of shower and restroom facilities.
- Allergic Reactions: To potential allergens like dust, chalk, food, drink, or cleaning products in the facility.
- Emergency Procedures: Importance of familiarity with the gym’s emergency protocols.
- Social Interactions: Being in the space with people you do not know, which may lead to unexpected interactions or conflicts.
- Parking Lot and Building Ownership: Risks associated with the building and parking lot, including but not limited to slips and falls on ice or wet surfaces.
- Public Health Emergencies: Including risks associated with the spread of contagious diseases that could affect participants while on the premises, despite efforts to follow public health guidelines and ensure sanitary conditions.
- Service Animals: Risks associated with interactions with service animals, such as allergies to animals or injuries (e.g., bites or scratches). While pets are not allowed, service animals are permitted.
- Natural Disasters: Such as earthquakes, floods, or severe weather conditions that could impact the facility.
- Public Demonstrations: Including risks related to large gatherings or public demonstrations occurring near the facility.
- Critical Incidents: Potential critical incidents at Skyhook Bouldering, such as encounters with outside individuals or actions of participants or members.
- Reception Area: Risks associated with using electronic devices, such as tablets for waivers, including potential technical malfunctions and personal data security issues.
- Community Space: Risks from bringing in personal equipment to work, including potential theft, damage, or loss of personal property.
- Climbing Walls and Holds: Risks related to the potential malfunction or failure of climbing walls, holds, and other climbing structures.
- Impact Attenuating Surfaces (Fall Pads): Risks associated with the pads used for falls, including improper padding, shifting of pads, and failure to adequately cushion falls.
- Food and Drink: Risks from consuming or being in contact with food and beverages sold on the premises, including potential allergic reactions or foodborne illnesses.
- Competitions and Events: Risks associated with participating in or attending camps, birthday parties, community events, and competitions, both in-house and away.
- Slippery Floors: Risks from wet or slippery floors due to showers, spilled drinks, or other sources of moisture.
- Electrical Hazards: Risks of electric shock from using electrical outlets, electronic devices such as tablets and computers, or AEDs (automated external defibrillators).
- Fitness Equipment: Risks related to the use of treadmills, stationary bikes, free weights, squat racks, bench presses, and other general fitness equipment, including potential injuries from improper use, equipment failure, or overexertion.
- General Facility Use: Risks from using common areas, including the potential for tripping, slipping, or other accidents.
Assumption of Risk
Participants confirm that they are aware of their personal skills and limitations, and they understand that these risks may result in serious injury or death. They voluntarily decide to participate and accept these risks, fully aware of the severity of potential injuries. Participants acknowledge that they have had the opportunity to consult with legal counsel prior to signing and that they are signing this Agreement freely, without any duress or undue influence. They also acknowledge their responsibility to act prudently and safely while on the premises and to comply with all stated and customary terms, posted safety signs, rules, and verbal instructions given by staff members at Skyhook Bouldering. Participants are encouraged to assess their fitness level and climbing abilities before engaging in any activities. Despite all safety measures and supervision provided by Skyhook Bouldering, accidents and injuries may occur by the nature of the activity. Participants understand that this waiver does not extend to gross negligence, intentional misconduct, or any conduct that violates public policy.
Release of Liability
In consideration of being allowed to participate in and access the facilities at Skyhook Climbing Gym Incorporated DBA Skyhook Bouldering, participants voluntarily agree to release, waive, discharge, and covenant not to sue Skyhook Climbing Gym Incorporated, Skyhook Holdings LLC, its directors, officers, employees, volunteers, agents, and successors from any and all liabilities, claims, demands, actions, and causes of action whatsoever, directly or indirectly arising out of or related to any loss, damage, injury, or death, that may be sustained by the participant while participating in such activities or while on the premises. This includes injuries or damages resulting from the negligence of Skyhook Bouldering or its staff. This release does not extend to claims of gross negligence, intentional misconduct, or any conduct that violates public policy. Participants understand and acknowledge the seriousness of the risks involved in climbing and fitness activities, including serious physical injury or death, and affirm that this release is given freely, voluntarily, and without inducement.
Orientation Video
All participants must watch our orientation video prior to engaging in any activities at Skyhook Bouldering. This video provides essential safety guidelines, proper use of climbing and fitness equipment, and emergency procedures tailored to our facilities. To ensure comprehension and adherence, participants are required to sign a confirmation that they have watched the video and understand its contents fully. Skyhook Bouldering reserves the right to update the video periodically, and participants agree to watch these updates as part of their ongoing participation. We are committed to ensuring that the orientation video is accessible to all participants and will provide alternative formats upon request.
Medical Authorization
Skyhook Bouldering does not have medical personnel or treatment available to visitors. In the event of an injury or medical emergency at Skyhook Bouldering, participants (or their parents/guardians if under 18) hereby authorize gym staff and summoned emergency medical personnel to administer first aid, CPR, and use an AED if necessary. Staff may also administer emergency medications if prescribed on the participant's medical form. Participants authorize gym staff to decide on and facilitate the transportation of the participant to a nearby medical facility if deemed necessary. This authorization includes permission to share relevant medical information with medical personnel to facilitate treatment. Participants acknowledge that Skyhook Bouldering staff are not medical professionals and release them from liability for any first aid provided.
Recommended Insurance Coverage:
We recommend that all participants ensure they have adequate insurance coverage to handle any medical costs that might arise from participation in gym activities. While not mandatory, having sufficient insurance coverage is strongly advised to help manage potential medical expenses. We encourage you to review and understand the extent of your coverage as it relates to sports and physical activities.
Fitness to Participate
Health and Fitness Certification: Participants affirm that they are in good physical health and possess the fitness level required to safely engage in strenuous activities such as bouldering and fitness training at Skyhook Bouldering.
Pre-Participation Health Evaluation: Individuals with known medical conditions (e.g., heart disease, asthma, severe allergies) or concerns about their physical capabilities are strongly advised to consult with a healthcare provider prior to participation.
Ongoing Self-Assessment: Participants agree to continuously assess their physical condition and fitness to participate. You must withdraw from the activity if you experience undue fatigue, pain, or discomfort, which could indicate a potential health risk.
Voluntary Disclosure of Medical Information: You are encouraged to provide any pertinent medical information that may affect your ability to participate safely. Skyhook Bouldering commits to maintaining the confidentiality of such information, using it solely for the purpose of emergency response and ensuring participant safety.
Parental Consent for Minors
Minors under the age of 18 wishing to participate in activities at Skyhook Bouldering Gym are required to have this waiver signed exclusively by their legal parent or legal guardian. The parent or guardian, by signing, confirms that they have fully read and understood all terms of this waiver, including the acknowledgment of risks and the participant’s fitness to engage in bouldering and fitness activities. They consent to the minor’s participation under these conditions and assume responsibility for ensuring the minor’s compliance with all gym rules. Parents or guardians must provide emergency contact information and are required to be present and actively monitoring during the minor's activities. This consent includes authorization for emergency medical treatment as necessary. Under no circumstances may the waiver be signed by any other individuals, including but not limited to friends, friends' parents, cousins, extended relatives, or older siblings.
For minors aged 16 and 17, an additional authorization form must be completed by their legal parent or guardian to allow unsupervised participation in activities during staffed hours at Skyhook Bouldering Gym. This authorization permits the minor to climb without direct parental supervision but does not waive any other conditions of the standard waiver. Skyhook Bouldering Gym reserves the right to revoke this authorization at any time and without prior notice, due to non-compliance with gym rules, etiquette, safety procedures, or changes in gym policy. Revocation can also occur at the discretion of gym management for any reason deemed necessary to maintain the safety and integrity of gym operations.
Emancipated Minors
Emancipated minors who can provide valid proof of their emancipated status (such as a certified court order) are required to discuss their situation with front desk staff at Skyhook Bouldering Gym. Depending on the state of emancipation and applicable laws, access to activities may be granted following a review of the provided documentation. Parents or guardians must provide emergency contact information and are strongly encouraged to be present during the minor's activities unless otherwise authorized by the aforementioned additional form.
Emergency Contact Authorization
Participants must provide and maintain current emergency contact information as part of their registration at Skyhook Bouldering. This must include the names, phone numbers, and relationship of an individual who can be contacted in the event of an emergency. Participants affirm that they authorize Skyhook Bouldering Gym staff to contact these individuals under emergency circumstances. Participants are required to verify the accuracy of this information at the time of registration and are responsible for updating it as needed to ensure its continued accuracy.
Media and Security Cameras
Skyhook Bouldering Gym uses video surveillance for security purposes and may capture incidental images and footage of participants during regular activities. While direct images of participants will not be used for promotional purposes without explicit consent, participants acknowledge that their likeness may appear incidentally in the background of general gym footage used in marketing materials. All security footage is strictly for the safety and security of our patrons and staff and will not be used for any other purposes. By participating in activities at Skyhook Bouldering Gym, you consent to the incidental capture and use of your likeness as described.
Behavior and Media Manipulation
Participants at Skyhook Bouldering are expected to act in good faith regarding their presence in photographs and video recordings taken during gym activities. If a participant intentionally positions themselves in media captures for the purpose of exploiting the image use or disrupting marketing efforts, such actions will be considered a breach of this waiver’s terms. This includes but is not limited to feigning consent, misrepresenting their intention to opt out, or any other actions that could be seen as attempting to undermine the legitimate use of media by Skyhook Bouldering. In cases where manipulation is evident, Skyhook Bouldering Gym reserves the right to take appropriate action, including but not limited to exclusion from future marketing materials, revocation of gym membership, or legal action, depending on the severity of the misconduct.
Code of Conduct (Rules/Etiquette)
At Skyhook Bouldering Gym, maintaining a respectful, safe, and inclusive environment is paramount. By signing this waiver, participants commit to adhere to our code of conduct and the specific etiquette rules outlined both in this document and through detailed signage posted throughout the gym. These rules are designed to ensure a positive and respectful climbing experience for everyone:
Skyhook Bouldering Gym Rules
Facility Rules
-All climbers and spectators must have a waiver on file with the front desk
-Acknowledgment of Risks: Participants are required to acknowledge and accept the inherent risks associated with bouldering, including the potential for falls, injuries, strains, and other accidents.
-Assumption of Risk: Participants assume the risks associated with bouldering voluntarily and willingly. They acknowledge that accidents and injuries can occur despite the climbing facility's safety protocols and precautions.
-Release of Liability: Participants waive any claims or legal actions against the bouldering gym, its owners, employees, instructors, and affiliates for any injuries, damages, or losses sustained during or arising from participation in bouldering activities.
-No Running, Horseplaying, Tumbling or Roughhousing
-Never place fingers, hands, or feet on the metal bolt hangers.
-Don’t climb up the downclimb jugs
-Shirts must be worn at all times.
-Before recording or taking photos, ensure all parties being filmed have consented to being photographed or videotaped.
-No pets in the facility. Only service animals are allowed in the facility.
-No chewing gum allowed in the climbing wall area.
-No climbing shoes in the restroom (no bare feet in the restroom)
-While bouldering; be aware of launching or throwing for a move with other climbers and bystanders nearby.
-Courtesy of others and use of appropriate language is expected
-Children under the age of 16 may not be in the gym without adult supervision and only during posted business hours.
-Teens aged 16 and 17 may use the climbing facilities without adult supervision provided that a legal parent or guardian has completed and signed an additional consent form.
-Climbers must be six-years-old or older.
-While watching others boulder please stand out of the way of their fall line.
-No climbing while under the influence of drugs or alcohol
-Use all equipment, furniture, spaces and items as intended
-No bicycles, skateboards, roller skates or other wheeled equipment is allowed in the gym
-Report any spinning holds or other safety issues to the front desk staff immediately
-All climbers must check-in
-Skyhook Bouldering Gym is not a residence. Extended stays and overnight camping are not permitted. Please limit your visit to active climbing sessions and appropriate rest periods.
-All accidents and injuries must be reported to gym staff
-No yelling or screaming
-Be respectful and kind to your fellow climbers
-No weightlifting equipment on the pads
-Harassment and/or bullying will not be tolerated
-Staff have the right to enforce any additional rules if they feel the situation is unsafe.
-Participants assume the risks and responsibilities of all activities.
-Climbing privileges may be revoked at any time.
-Immediately report unsafe climbing practices to gym staff.
-Always follow directions from gym staff. Their guidance ensures your well being and the well being of others.
-Failure to follow gym rules or staff instructions may result in a warning, session termination, or membership suspension, depending on the severity of the infraction
-Adhere to posted occupancy limits for each area of the fitness center to ensure a comfortable environment for all users
-Skyhook Bouldering is not responsible for lost or stolen items.
-Firearms or other weapons are not permitted
-Smoking and or vaping is not permitted anywhere on the club premises
-You may not bring alcohol or drugs into Skyhook Bouldering
-You may not sell &/or market any product or service to other members while in Skyhook Bouldering
Fitness Area Rules
-Always warm up before using equipment
-All weightlifting equipment should remain in the weightlifting area
-Closed toed shoes are required in the fitness area
-Wipe down all fitness equipment after use with provided disinfectant wipes or sprays
-Please do not slam, throw, or drop weights
-Report any broken or malfunctioning equipment to gym staff
-Children under 16 are not allowed in the fitness area without coach supervision
-Use each piece of equipment for its intended purpose only.
-Use safety features such as safety clips on weight machines and safety bars on squat racks.
-Keep the area around equipment clear of obstacles to prevent tripping or accidents.
-No modifying of equipment or using it in a manner that could lead to damage or injury.
-Only use equipment that you have proper knowledge of how to operate safely.
-Seek assistance or guidance from gym staff if unsure about how to use a particular machine or equipment.
-Avoid using equipment that exceeds your physical capabilities or could pose a risk of injury.
-Handle weights & equipment with care and replace after use. Do not drop or throw weights
Climbing Rules
-No Loose Chalk
-No Climbing with Headphones during staffed hours
-Watch your surroundings at all times
-Empty your pockets before climbing
-If you can high five another climber, you are climbing too close together. The climber who was on the wall first remains on the wall and the other climber should climb down
-Stay out of fall zones
-Downclimb where possible
-No topping out or standing on the bouldering wall
-Climbers on the wall have the right of way
-Watch fall zones and keep personal items out of the fall zones of other climbers
-Do not walk under other climbers
-Traversing is allowed, but climbers moving upward have the right of way
-No street shoes on the climbing wall
-Only climb as high as you feel comfortable falling
-Food and drink are not allowed on the matIf you are the one who can't move out of the way because you are belaying, let the person know!
-When you are near the bouldering area, stay off the mats or away from the wall when you are not actively climbing.
-Give people room! You never know where someone might land or swing to so better to stay away from the walls when possible. Try to not walk between a belayer and the wall.
-Make sure to watch your water bottles, phones, or other items in addition to yourself. Keeping items in cubbies or out of the way of where people might fall or walk can help everyone stay safer.
-When you are bouldering and you are trying not to crowd the walls, it can be hard to know whose turn it is. Look around and ask!
-In order to prevent injuries every climber is asked to warm up appropriately before use of the climbing walls.
-The pads in the boulder area may not be used as resting areas. Only the designated resting areas are to be used to relax and to rest.
-Check your own fall zone before you start climbing.
-Check that your climbing route does not cross paths with another climber before you start climbing.
-If you are unsure about climbing safety or skills, please consult our staff before climbing.
Skyhook Bouldering Gym Etiquette
-Don’t Beta Spray–Do not offer beta or advice without first obtaining consent. The only exceptions are when safety is involved.
-Be Respectful: Be respectful of others in language and interactions. Treat all fairly and with kindness regardless of age, race, ethnicity, citizenship, religion, marital status, ability, sex, gender, sexual orientation, or any other status.
-No screaming or yelling
-Those who Brush, Crush–If someone brushes the holds of a climb, they are next to climb on that boulder
-Take Turns–If multiple people are attempting the same boulder as you, everyone should take turns. This is especially true during busy times and when climbing new sets.
-If you leave a tick mark, brush it before moving on to a new boulder
-If someone falls on you, it’s your fault–Keep all belongings and body parts out of fall zones
-No Collisions–Before climbing a boulder, look at the full boulder and ensure you aren’t climbing in the path of someone else
-Climbing with headphones is permissible only during non-staffed hours, but ensure you stay aware of your surroundings. Have your music at a low enough volume that others can communicate with you about safety matters.
-If you move or shift a hold while climbing, report the spinner to gym staff immediately.
-If someone is harassing or bullying you or another climber, alert gym staff immediately
-Respect other’s psych–Don’t put others down for being excited, let folks have their celebrations as long as that celebration isn’t harming anyone.
-Be kind to all, always.
-Climbers climbing up on a set route have the right of way over climbers traversing across the wall.
-Encourage Positivity: Allow others to celebrate their achievements without negativity. Support and uplift fellow climbers.
-No Wobblers–While being frustrated is okay, don’t throw a wobbler (tantrum).
-Be Friendly, Not Creepy–Avoid making comments about people’s bodies or offering unsolicited advice or opinions. Say hello, offer a fist bump, high five, or even a “Nice Send!”
-Impact is not always intent: Understand the impact of your actions, even if that impact was not your intent
-Approach Considerately: When approaching someone to start a conversation, keep a respectful distance, especially if they are preparing for a climb or resting after one.
-Photography and Recording: Ask for consent before taking photos or recording videos, especially if the person is in the background or the focus of your activity.
-Polite Interruptions: If you need to get someone’s attention, wait for a natural break in their activity or conversation. Use a polite gesture or a soft verbal cue.
-Accepting No: If someone declines an interaction or appears uninterested in chatting, respect their decision without insistence.
-Leave Space: When setting up to climb, ensure you’re not too close to another climber’s route to avoid accidental contact.
-Respecting Boundaries: Recognize and respect verbal and non-verbal cues indicating someone's comfort level with proximity and interaction.
-Share Common Areas: Don’t monopolize areas such as wall space, community areas, equipment, etc.. Be mindful and allow space for others to use these resources.
-Personal Equipment: Keep your personal items organized and contained within your personal area to allow space for others.
-Address Issues Politely: If you encounter a situation where your personal space is invaded or your preferences are not being respected, address the issue politely with the person involved.
-Seek Mediation: If self-resolution is not possible, seek help from gym staff to mediate and resolve the situation appropriately
Policy Adherence:
-Follow all posted rules and staff instructions, with a willingness to alert staff if witnessing harassment or any inappropriate behavior.
Participants acknowledge that they have read, understood, and are able to understand these rules as clearly communicated in this waiver and through signage throughout the gym. Failure to adhere to these guidelines may result in disciplinary actions, including but not limited to warnings, temporary suspensions, or permanent bans from the facility, depending on the severity of the violation.
COVID-19 Liability Waiver
In light of the ongoing risk posed by COVID-19, participants entering Skyhook Bouldering Gym acknowledge the inherent risk of exposure to COVID-19 in any public space where people are present. Despite following the guidelines issued by public health authorities and implementing safety measures recommended by such entities, Skyhook Bouldering Gym cannot eliminate all risk or guarantee that patrons will not contract COVID-19.
Participants agree to comply with all updated health and safety guidelines and public health mandates issued by Skyhook Bouldering Gym, which may include mask wearing, physical distancing, and adherence to cleaning protocols. Participants must refrain from entering the gym if they exhibit COVID-19 symptoms, have been diagnosed with COVID-19, or have been exposed to someone with COVID-19 in the last 14 days. Participation signifies acceptance of this risk and a personal assumption of responsibility for their health and safety.
Jurisdiction and Governing Law Clause
The execution, validity, and performance of this waiver shall be governed exclusively by the laws of the State of Oregon, disregarding any conflict of law principles that might require the application of the laws of another jurisdiction. This means that the laws of Oregon will apply to any issues that arise out of or relate to participation at Skyhook Bouldering Gym or this waiver. Participants agree that any disputes not resolved informally between the parties shall be submitted to mediation or, if mediation fails, to binding arbitration in Multnomah County, Oregon. Only if these measures fail will disputes be escalated to litigation in the federal or state courts of Multnomah County, Oregon, to which participants also agree to submit and waive any objection to such jurisdiction and venue. This agreement extends to include any claims against Skyhook Bouldering's affiliates, successors, or assigns, as well as any third parties involved in the operation of the gym.

By signing this Agreement, participants expressly acknowledge that they have thoroughly read, fully understood, and voluntarily accept the terms and conditions outlined in this waiver, including detailed sections on risk assumption, liability release, gym etiquette, COVID-19 protocols, and jurisdiction and governing law. Participants affirm that they have had the opportunity to ask questions about this document and have received satisfactory answers. They also confirm they are in suitable health to engage in physical activities offered by Skyhook Bouldering. Participation at Skyhook Bouldering is expressly conditional upon acceptance of these terms, which is evidenced by their signature below. This Agreement is signed freely and willingly without any duress or undue influence.

They also confirm they are in suitable health to engage in physical activities offered by Skyhook Bouldering. Participation at Skyhook Bouldering is expressly conditional upon acceptance of these terms, which is evidenced by their signature below. This Agreement is signed freely and willingly without any duress or undue influence. I AM FULLY AWARE OF THE CONTENTS OF THIS AGREEMENT AND RELEASE, AND HAVE READ AND UNDERSTAND ALL OF THE TERMS. THE TERMS OF THIS AGREEMENT BIND ME, MY FAMILY (INCLUDING BUT NOT LIMITED TO SPOUSES AND DOMESTIC PARTNERS), HEIRS, EXECUTORS, ADMINISTRATORS, DEPENDENTS, BENEFICIARIES, AND ASSIGNS. I RECOGNIZE THAT IF I HAVE ANY QUESTIONS REGARDING MY WAIVER OF RIGHTS, I SHOULD CONSULT AN ATTORNEY.

You confirm that you are aware of your personal skills and limitations, and you understand the severity of the risks involved. You voluntarily decide to participate and accept these risks.

They voluntarily decide to participate and accept these risks, fully aware of the severity of potential injuries. Participants acknowledge that they have had the opportunity to consult with legal counsel prior to signing and that they are signing this Agreement freely, without any duress or undue influence. Participants are encouraged to assess their fitness level and climbing abilities before engaging in any activities. Despite all safety measures and supervision provided by Skyhook Bouldering, accidents and injuries may occur by the nature of the activity.
This document serves as a binding legal agreement between the participant and Skyhook Bouldering. By signing below, participants affirm that they have read, understood, and agree to all terms and conditions outlined in this waiver. Participants acknowledge that they are signing this waiver voluntarily and with full knowledge of its significance. A copy of this signed waiver will be provided to the participant for their records.
